Terms and conditions

Effective 22 August 2026

These terms govern every DOiNhub engagement and your use of this website. They are detailed on purpose, because a clear agreement protects both sides, and they are written to be read rather than skimmed.

Who we are

DOiNhub is the trade name of Pavan Gupta, a proprietary concern registered with the Ministry of Micro, Small and Medium Enterprises, Government of India, as a Micro enterprise: Udyam Registration No. UDYAM-UP-75-0108585, major activity Services, in business since 1 April 2023.

Registered office: SA 7/48 DD, Bela Road, Benipur, Sarnath, Varanasi, Uttar Pradesh 221007, India. Email hello@doinhub.com. Phone +91 84236 61117.

In these pages, “DOiNhub”, “we”, “us” and “our” mean that enterprise, and “you” means the person or organization dealing with us. If you are accepting for a company, you confirm you have the authority to bind it.

What these terms cover

They apply to your use of doinhub.com and to every engagement we take on. Each engagement is defined by a written proposal: the drawing of your system, the scope, the milestones, the timeline and the quoted amount.

Acceptance in writing includes acceptance by email or by any electronic means recognized under the Information Technology Act, 2000. Once you accept a proposal, that proposal and these terms together form the agreement. If they ever conflict, the proposal wins for that project.

We may update these terms by publishing a new version here with a new effective date. The version in force when you accepted your proposal continues to govern that project.

Quotes

Every quote is written, itemized by milestone and produced after the system has been drawn. A quote stays open for acceptance for thirty days from its date; after that, ask us to reconfirm it.

A quote prices the scope written in it. It relies on the information you gave us being materially accurate and on the stated assumptions holding; where either turns out otherwise, we requote the affected part in writing before continuing.

Payment

Each milestone is invoiced as the proposal sets out, and invoices are payable within seven days of issue, without set-off or deduction. Where the proposal requires an advance for a milestone, work on that milestone starts once the advance arrives.

Payments are accepted by bank transfer or online through Razorpay, our payment processor, which supports cards, UPI and netbanking. Card and banking details go to Razorpay directly and never touch our systems. Bank charges and currency conversion costs are borne by the payer, so that the invoiced amount is the amount received.

Quotes are made in Indian rupees or US dollars, as stated on the proposal. Taxes required by law appear on the invoice at the applicable rate.

The schedule and the account run together: while invoices are current, work continues without interruption; when an invoice becomes overdue, timelines pause and deliveries are suspended until the account is current again. As a registered Micro enterprise, we are also entitled to interest on delayed payments as provided by sections 15 and 16 of the Micro, Small and Medium Enterprises Development Act, 2006, a statutory right that section 24 of that Act preserves regardless of anything agreed to the contrary.

Scope and changes

The drawing and the proposal define the scope. That precision is what protects your budget: everything inside it is included, and anything outside it is a change.

Changes are welcome and follow one process: you describe the change, we quote its effect on cost and timeline in writing, and the changed work begins once you approve. No surprise line items, ever, in either direction.

Where progress depends on you, timely materials, access, decisions or approvals, and a dependency arrives late, the schedule moves by at least the delay, and we tell you the new dates in writing as soon as they are known.

Your responsibilities

You provide the access, content and decisions the project needs, and one named person with authority to approve. You warrant that the materials you give us to build with are yours to use and do not infringe anyone's rights, and that what you ask us to build, and how you use it, is lawful in the places you operate.

You are responsible for your own accounts and credentials, for reviewing deliverables in the review window, and for the operation of the system after handover except where a written maintenance arrangement says otherwise.

Delivery and acceptance

Work happens in a repository you can see throughout, and each milestone is delivered against the scope written for it.

You have seven days from delivery of a milestone to review it. Anything that does not match the agreed scope, tell us in writing within that window and we fix it at no charge. If no written rejection arrives within seven days, or if you deploy the milestone to production, that milestone is accepted. Acceptance is the trigger for its invoice or, where prepaid, the close of that milestone.

Ownership and licenses

On full payment of a milestone, the intellectual property in the deliverables created specifically for you in that milestone, code, designs and documentation, is assigned to you. Until that payment, it remains ours, and no license to use undelivered or unpaid work is granted. This payment-then-ownership order is the one piece of leverage each side holds and it is deliberately symmetrical: you never pay for what does not exist, we never hand over what has not been paid for.

Three ordinary carve-outs. Open-source components keep their own licenses, which travel with the code. General-purpose tools, libraries, snippets and know-how that we bring to every project, or build to be reusable, remain ours, and you receive a perpetual, non-exclusive, royalty-free license to use them as part of your deliverables. Nothing in an engagement transfers ownership of one client's work to another.

Unless an NDA or your written instruction says otherwise, we may describe the work generically and without your name, the way the record on this site is written, and count it in aggregate figures.

Specialists and non-solicitation

Some parts of a project, design, ads, mobile, infrastructure, are delivered by specialists from the network Pavan has worked with for years. They work under confidentiality obligations consistent with these terms, and accountability for everything that ships stays with us: your contract, your point of contact and your remedy are all in one place.

The network is part of what you are buying, so both sides agree not to solicit for direct engagement or hire the other's personnel or specialists met through a project, for twelve months after it ends, other than through us or with written consent. Public job postings a person answers on their own are not solicitation.

Confidentiality

Each side keeps the other's non-public information confidential, uses it only for the project, and shares it only with people who need it and are bound to the same standard. This obligation starts with the first conversation, survives for three years after the engagement ends, and does not cover information that is public, independently known or required to be disclosed by law.

Where a mutual NDA is signed, and we sign one before anything sensitive is shared, its terms govern over this section.

Warranties, and honest limits

We warrant that services are performed with reasonable skill and care, that deliverables will materially match their agreed scope, and that for thirty days after handover of a milestone we fix anything in it that does not, at no charge.

Some things no honest engineer warrants, so we say them plainly. We do not guarantee business outcomes: revenue, rankings, conversion rates, app store approvals or advertising performance depend on markets and platforms, not only on the build. Third-party services, hosting, model providers, APIs, app stores, payment systems, are outside our control, and their availability, pricing and behavior can change; we build against them carefully and we do not answer for them.

Systems that use artificial intelligence produce probabilistic output. We engineer for accuracy with retrieval, testing and guardrails, and we do not warrant that any model output is correct, complete or fit to act on without review. Where AI output feeds decisions with legal, financial, medical or safety consequences, you are responsible for keeping a qualified human in the loop.

Except as expressly stated in this section, the services and deliverables are provided without other warranties, and any condition implied by law is excluded to the extent the law allows.

Liability

Our total aggregate liability arising out of or in connection with an engagement, in contract, tort or otherwise, is capped at the amount you actually paid us under that engagement. For claims connected only to this website, the cap is one thousand Indian rupees.

Neither side is liable to the other for indirect or consequential loss, loss of profit, revenue, data, goodwill or anticipated savings. Nothing in these terms excludes liability for fraud, or any liability that cannot be excluded under Indian law.

Claims have a shelf life: any claim under an engagement must be brought within twelve months of the date the claiming side knew, or reasonably should have known, of the facts giving rise to it.

Indemnities

You indemnify us against third-party claims arising from the materials and instructions you provided, from your use of the deliverables after handover, or from your business's own legal obligations, including data, consumer and sector rules that apply to you.

We stand behind our originality: if a third party claims that deliverables we authored infringe their intellectual property, we will, at our option, modify or replace the affected part, obtain the right for you to keep using it, or refund what you paid for it. This does not cover materials you supplied, your modifications, or use outside the agreed scope, and it is subject to the liability cap above.

Suspension and termination

Either side may end an engagement for convenience with fourteen days written notice, or immediately if the other side materially breaches the agreement and does not cure the breach within fourteen days of written notice of it.

On termination, you pay for milestones completed and for work in progress up to the effective date, plus third-party costs already committed on your behalf; everything paid for is handed over; anything prepaid beyond that is refunded under the cancellation and refunds policy; and each side returns or deletes the other's confidential materials on request.

Sections that by nature continue, ownership, confidentiality, warranties and their limits, liability, indemnities, disputes, survive termination.

Events beyond control

Neither side is in breach for delay or failure caused by events beyond reasonable control, outages of major providers, natural events, war, epidemics, acts of government, provided the affected side tells the other promptly and works to limit the effect. If such an event blocks the work for more than sixty days, either side may end the engagement, settled as a termination for convenience.

Disputes and governing law

Talk first: raise any dispute in writing and the two sides negotiate in good faith for thirty days before any formal step. Most disagreements are scope questions wearing a costume, and the drawing usually settles them.

These terms and every engagement are governed by the laws of India, and the courts at Varanasi, Uttar Pradesh have exclusive jurisdiction. As a registered Micro enterprise we additionally retain the right to refer payment disputes to the Micro and Small Enterprises Facilitation Council under section 18 of the MSMED Act, 2006.

General

Notices are valid by email, to hello@doinhub.com for us and to the address on your proposal for you, and count as received on the next business day.

We are an independent contractor: nothing here creates employment, partnership or agency. You may not assign the agreement without our written consent, not unreasonably withheld; we may assign it to a successor entity that continues the business, with the same obligations to you.

If a clause is held unenforceable, the rest stand. A right not exercised is not waived. The proposal and these terms are the entire agreement for a project and replace prior discussions about it.

Questions about these terms go to hello@doinhub.com, and a senior engineer replies within four hours.
